Terms & Conditions

Effective date: September 27, 2026

1. Agreement to these terms

These Terms & Conditions ("Terms") are an agreement between you and KYAM LLC, a Wyoming limited liability company doing business as Adopio ("Adopio," "we," "us," or "our"). They govern your use of adopio.com (the "Site") and, unless a separate written agreement says otherwise, the services we provide. If you use the Site or engage us on behalf of a business, you confirm that you are authorized to accept these Terms for that business, and "you" refers to that business.

For client engagements, we typically agree the scope, deliverables, timeline, and fees in a written proposal, statement of work, or order (a "Proposal"). If a Proposal conflicts with these Terms, the Proposal controls for that engagement.

2. Our services

Adopio provides AI implementation services, which may include auditing how your business runs to find where time, calls, and customers are being lost, selecting, setting up, and configuring AI tools and automations for those gaps, connecting them with software you already use, and ongoing monitoring, tuning, and support. The specific services for any engagement are those described in the applicable Proposal.

We work remotely with businesses in the United States and elsewhere. Our services are offered to businesses, not to consumers for personal, family, or household purposes.

3. The free audit

Our workflow audit is free and carries no obligation to purchase anything. Recommendations from an audit reflect our professional judgment based on the information you provide at the time. They are not a guarantee of results, and you are responsible for deciding whether and how to act on them.

4. Fees, billing, and cancellation

  • Sprint engagements are billed as a fixed fee for the workflow and scope described in the Proposal.
  • Partner engagements are billed monthly. You may cancel at any time. Cancellation takes effect at the end of the monthly period already paid for, and no further monthly fees are charged after that.
  • Payment timing, accepted payment methods, and any deposit are set out in the Proposal or invoice. Fees are stated in US dollars and do not include taxes, which you are responsible for where applicable.
  • Fees for work already performed and periods already started are non-refundable unless the Proposal says otherwise.
  • Costs for third-party software, AI model usage, or subscriptions needed to run your systems are your responsibility unless the Proposal states that they are included.
  • Work outside the agreed scope requires a change agreed in writing and may carry additional fees.

5. Your responsibilities

  • Provide timely access to the people, information, systems, and accounts we reasonably need to deliver the services.
  • Make sure the information you give us is accurate, and that you have the rights and any required consents to share data with us and to have it processed by the systems we set up.
  • Comply with laws that apply to your business and your use of the systems we deliver, including privacy, consumer protection, marketing, and industry-specific rules.
  • Keep your own accounts, credentials, and backups secure.

6. AI systems and outputs

AI systems can produce outputs that are inaccurate, incomplete, or inappropriate, and their behavior can change when underlying models or data change. We configure systems with human review where it matters, but you are responsible for reviewing outputs and for decisions made using them, especially decisions with legal, financial, safety, or employment consequences. Unless the Proposal says otherwise, the systems we set up are not intended for use as the sole basis for such decisions.

7. Third-party services

The systems we set up usually rely on third-party platforms, such as AI model providers, automation tools, and your existing business software. Your use of those platforms is subject to their own terms and policies. We are not responsible for third-party platforms' availability, pricing changes, security, or behavior, although we will help you respond to changes as part of any ongoing support you engage us for.

8. Intellectual property

  • Your materials. You keep ownership of your data and materials. You grant us a limited right to use them only to provide the services.
  • Deliverables. When you have paid the fees for an engagement in full, you own the custom deliverables we create specifically for you under that engagement, except as described below.
  • Our tools and know-how. We keep ownership of our pre-existing materials, templates, code libraries, methods, and general know-how, including improvements to them. To the extent any of these are included in your deliverables, we grant you a non-exclusive, perpetual license to use them as part of those deliverables for your internal business purposes.
  • The Site. The Site and its content are owned by us or our licensors and may not be copied or reused without permission, except for normal browsing and sharing links.

9. Confidentiality

Each party will keep the other's non-public business information confidential, use it only for the engagement, and protect it with reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is received lawfully from a third party. A party may disclose confidential information if required by law, after giving notice where legally allowed. Unless you tell us otherwise, we may mention you by name as a client, but we will not share details of your systems or data without permission.

10. Use of the website

You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with its operation, submitting spam or malicious content through its forms, or using automated means to scrape it in a way that burdens our systems.

11. Disclaimer of warranties

We will perform the services in a professional and workmanlike manner. Except for that commitment and anything expressly stated in a Proposal, the Site and services are provided "as is" and "as available," and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific business outcome, time savings, revenue, or cost reduction.

12. Limitation of liability

To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these Terms or the services, even if advised of the possibility of those damages.

To the fullest extent permitted by law, our total liability arising out of or related to these Terms or the services will not exceed the fees you paid us for the services giving rise to the claim during the twelve (12) months before the event that gave rise to the claim. These limits do not apply to liability that cannot be limited by law.

13. Indemnification

You will defend and indemnify us against third-party claims arising from your data or materials, your use of the systems we deliver in violation of law or these Terms, or your violation of third-party rights. We will defend and indemnify you against third-party claims that deliverables we created for you, as delivered, infringe that third party's intellectual property rights, except to the extent the claim arises from your materials, third-party platforms, or changes not made by us.

14. Termination

Either party may end an engagement as provided in the Proposal, or, if the Proposal is silent, on written notice if the other party materially breaches these Terms and does not fix the breach within a reasonable time after notice. On termination, you will pay for work performed and periods started through the termination date, and each party will return or delete the other's confidential information on request, except for copies kept as required by law. Sections that by their nature should survive termination will survive, including those on fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or related to these Terms or the services, and each party consents to their jurisdiction. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other.

16. General terms

  • These Terms, together with any Proposal, are the entire agreement between us about their subject and replace prior discussions on it.
  • If any provision is found unenforceable, the rest remains in effect.
  • Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all of its business.
  • Neither party is liable for delays caused by events beyond its reasonable control.
  • We are an independent contractor, and nothing in these Terms creates a partnership, employment, or agency relationship.
  • We may update these Terms by posting a new version on this page with a new effective date. Changes do not affect engagements already governed by a signed Proposal unless both parties agree.
